M&A and Corporate Counsel

The Opportunity:

As a member of Booz Allen's Legal, Ethics and Compliance team, you will be responsible for advising on complex M&A, strategic transactions, and other corporate legal matters. You will support senior attorneys on M&A due diligence and execution, lead the integration of acquired companies from a legal perspective, and handle a variety of other important corporate legal matters. You'll collaborate with senior leaders, Corporate Development, and other teams across Booz Allen, including Accounting, Tax, Treasury, People Services, Contracts, and Information Security to successfully complete transactions and navigate corporate legal issues.You will provide thought leadership and educate and advise internal stakeholders at all levels with respect to relevant legal issues to help achieve optimal business results while mitigating risk. Due to the nature of work performed within this facility, U.S. citizenship is required.

You Have:

  • 2+ years of experience with practicing law in a top-tier law firm or corporate environment and advising on corporate legal matters, including sophisticated M&A and strategic transactions

  • Experience in leading and collaborating with cross-functional teams and business leaders to develop comprehensive, business-oriented solutions to achieve objectives

  • Experience with leading and managing projects to build consensus on complex M&A, corporate legal matters, and business issues

  • Ability to provide practical advice to legal and business colleagues

  • Ability to work independently and efficiently in a fast-paced environment with competing priorities

  • J.D. degree and active admission to a state bar

Nice If You Have:

  • Experience as in-house counsel in a corporate environment, including a public or large private company

  • Experience with designing and implementing smart and efficient plans to integrate companies acquired in M&A transactions

  • Experience with advising on M&A, joint ventures, and other strategic transactions involving government contractors

  • Experience with government contracts law, including FAR, DFARS, federal procurement statutes, and regulations

  • Experience with leading teams in multiple geographies and in remote environments

Salary at Booz Allen is determined by various factors, including but not limited to location, the individual's particular combination of education, knowledge, skills, competencies, and experience, as well as contract-specific affordability and organizational requirements. The projected compensation range for this position is $125,600.00 to $285,000.00 (annualized USD). The estimate displayed represents the typical salary range for this position and is just one component of Booz Allen's total compensation package for employees.
