Principal Corporate Paralegal

Fike Corporation, a rapidly growing international manufacturer of pressure relief, explosion protection, fire suppression and detection equipment, has an opportunity for a Principal Corporate Paralegal position. Fike is a privately held business located in Blue Springs, MO with over 400 employees locally & over 1,200 employees worldwide.



Job Summary:

The Principal Corporate Paralegal will provide direct support to the General Counsel and Corporate Secretary and play a key role in corporate governance, subsidiary governance, complex contract review, and mergers and acquisitions support. This position will utilize significant expertise in managing governance processes, regulatory filings, transactional support, and experience with legal technology tools, including artificial intelligence (AI) contract review platforms. The Principal Corporate Paralegal will serve as the most senior paralegal resource, contributing subject matter expertise and leadership in governance, compliance, agreement review and transactional matters.



Primary Responsibilities:


  1. Supports the General Counsel and Corporate Secretary with corporate governance, including preparation of board and committee materials, minutes, resolutions, and annual governance calendars.
  2. Manages subsidiary governance (entity formations, dissolutions, and corporate records maintenance).
  3. Conducts complex contract review, including master sales agreements, commercial, customer and vendor agreements, identifying risks, editing and redlining said agreements.
  4. Coordinates with cross-functional teams (Finance, Compliance, HR) to ensure governance and regulatory compliance.
  5. Provides support for mergers and acquisitions due diligence, including reviewing data rooms, preparing disclosure schedules, and assisting with closing documentation.
  6. Oversees projects outsourced to consultants and/or outside counsel and performing other ad hoc projects under supervision of an attorney.
  7. Mentors junior paralegals and staff by sharing best practices in corporate, governance, and contract processes.
  8. Maintains the confidentiality of all information processed.

Work Environment:

While performing the duties of this job, the environment is general office work and the employee is regularly required to walk, talk, hear, see, sit, and use hands. Domestic and international travel as needed.



Job Qualifications:

REQUIRED: Bachelor's degree and paralegal certificate (or equivalent experience). Eight years or more of corporate paralegal experience in an in-house legal department or large law firm. Strong knowledge of corporate governance, board/committee support, and subsidiary management. Demonstrated ability to conduct complex contract reviews. Familiarity with AI-assisted legal technology platforms for contract review, such as Luminance, Harvey, Spellbook, Ironclad, Hyperstart, ContractPodAI or similar applications. Prior experience providing transactional support for M&A. Excellent organizational skills, attention to detail, and ability to manage multiple priorities. Strong communication skills with ability to work effectively with executives, board members, and external advisors. Ability to work independently and as part of a team in a fast-paced environment.



PREFERRED: Experience in implementing or optimizing legal tech tools to improve workflow efficiency and accuracy.
